By installing, copying, or otherwise using the computer software, printed materials, and on-line or electronic documentation (the "Software Product"), you agree to be bound by the terms described below. If you do not agree, do not install or use the Software Product. You may, however, return it to your place of purchase for a full refund.

Use of the Software

SDS grants to you a non-exclusive licence to use the Software Product, under the following conditions:

  1. You may install one copy of the Software on to a hard disk or other storage device of one or more computers, provided that the total number of computers on which the software is installed at any time does not exceed the maximum number allowed.   Unless otherwise specified, the maximum number of computers for standard software products is:
    • One (1) network server or unlimited wokstations on a single LAN for Archive Manager;
    • One (1) personal computer for Archive Recorder;
    • One (1) web-server for Archive Browser;
    • One (1) web-server for Archive Server;
    • One (1) web-server for Archive Virtual; and
    • One (1) web-server for SurveyPlus.
  2. You may install one copy of the Software on a single file server for the purpose of downloading and installing the Software on to a hard disk or other storage device of up to the permitted number of computers that are on the same network as the file server.
  3. You may make one backup copy of the Software, provided your backup copy is not installed or used on any computer.
  4. The primary user of each computer on which the Software is installed may also install the Software on one laptop computer for home use. However, the Software may not be used on the home computer at the same time the Software on the primary computer is being used.


You may not rent, lease, sub-licence or lend the Software Product.

Software Transfer

You may permanently transfer all of your rights under this agreement, provided you retain no copies, you transfer all of the Software Product (including all component parts, the media and printed materials, and any upgrades), and the recipient agrees to the terms of this agreement. If the Software Product is an upgrade, any transfer must include all prior versions of the Software Product.


All title and copyrights in and to the Software Product, the accompanying printed materials, and any copies of the Software Product are owned by SDS or its suppliers. The Software Product is protected by copyright laws and international treaty provisions. The Software Product is licensed for use, not sold.

Limited Warranty

SDS warrants that the Software Product will perform substantially in accordance with the accompanying written materials for a period of ninety (90) days from the date of receipt, and that any support services provided by SDS shall be substantially as described in applicable written materials.
To the extent allowed by applicable law, implied warranties on the Software Product, if any, are limited to ninety (90) days.

Customer Remedies

SDS's and its suppliers' entire liability and your exclusive remedy shall be either (a) return of the price paid or (b) repair or replacement of the Software Product that does not meet SDS’s limited warranty and which is returned with proof of purchase. This limited warranty is void if failure of the Software Product has resulted from accident, abuse, or misapplication. Any replacement Software Product will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.

No Other Warranties

To the maximum extent permitted by applicable law, SDS and its suppliers disclaim all other warranties and conditions, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with regard to the Software Product, and the provision of or failure to provide support services.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SDS or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software Product or the provision of or failure to provide support services.
SDS’s entire liability under any provision of this licence agreement shall be limited the amount actually paid by you for the Software Product.
